Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by MavrixOps LLC ("MavrixOps," "we," "us," or "our"). Please read them carefully. By using our services, you agree to these Terms.

1. Acceptance of these Terms

By signing up for, accessing, or using any MavrixOps service, including joining our waitlist, requesting a free audit, or subscribing to a paid plan, you agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.

2. Description of services

MavrixOps provides a done-for-you revenue-recovery service for local, appointment-based businesses. Depending on the plan you select, the service may include: automated win-back and recall outreach to your past and lapsed clients by text and email, reactivation of your existing client list, automated review-request messages, and reporting. We describe the specific features included in your plan at the time you subscribe. We do not provide any feature not expressly described to you in writing.

3. Eligibility & business use

You must be at least 18 years old and use the service only for lawful business purposes. MavrixOps is sold business-to-business to local businesses. It is not intended for personal, household, or consumer use. You are responsible for all activity that occurs under your account.

4. Fees, billing & the free teardown

Paid plans are billed monthly in advance at the rate shown when you subscribe. There is no setup fee, and plans are month-to-month unless stated otherwise. We may offer a free revenue teardown before you subscribe; it is provided at no charge and does not obligate you to purchase. Any performance commitment applies only as expressly stated in your written agreement and is subject to its terms.

5. Cancellation & refunds

You may cancel a paid plan with the notice period stated in your agreement (by default, seven days' written notice). Fees already paid for the current billing period are generally non-refundable except where required by law or where we expressly agree otherwise. On cancellation, we will provide a reasonable export of your data as described in Section 10.

6. Acceptable use

You agree not to use the service to: violate any law or regulation; send unlawful, deceptive, harassing, or unsolicited messages; upload contacts you do not have the legal right to contact; infringe anyone's rights; attempt to disrupt or reverse-engineer the service; or resell the service without our written permission. We may suspend activity that we reasonably believe violates this section.

7. Telephone & messaging compliance

The service can place and receive calls and send text messages on your behalf. Laws including the federal Telephone Consumer Protection Act (TCPA), the Florida Telephone Solicitation Act, and related rules govern these communications. You are responsible for having a valid legal basis, including any required prior express written consent, to contact the phone numbers you provide or that are contacted on your behalf. You represent that any leads, past customers, or other contacts you direct us to message or call were obtained lawfully and may be contacted for the purposes you request. We provide tools to support compliance (such as opt-out handling and quiet-hours controls), but you remain responsible for your contact lists and the consent behind them. We honor opt-out ("STOP") and help ("HELP") requests on messaging channels. For SMS programs, message frequency varies, and message and data rates may apply.

8. Automated messaging disclosure

Our outreach features use an automated system to send messages by text and email to your clients and past customers on your behalf. Messages identify your business and include opt-out instructions where required, consistent with applicable disclosure requirements. You agree not to disable or alter these disclosures. The system sends from the information and approach you provide and is instructed not to fabricate prices, commitments, or services; you are responsible for the accuracy of the information you give us to represent your business.

9. Call recording consent (Florida, all-party)

The service may record and transcribe calls for quality, training, and record-keeping. Florida is an all-party (two-party) consent state, meaning every party to a call generally must consent before it is recorded. Calls handled by the service include a recording notice at the start of the call so that callers are informed and can consent or decline before continuing. You authorize us to record calls placed to or from your business line through the service, and you are responsible for ensuring recording is permitted for the locations and numbers involved. If a caller does not consent to recording, you are responsible for how that call is handled under your policies.

10. Your data & license to us

As between you and us, you own your business data, including your customer and lead information, call recordings, transcripts, and the content you provide. You grant MavrixOps a limited, non-exclusive license to use that data solely to provide, maintain, secure, and improve the service for you, and as described in our Privacy Policy. You represent you have the right to provide any data you give us, including the right for us to contact your leads and past customers on your behalf. On cancellation, you may request an export of your data within the window stated in your agreement.

11. Intellectual property

The MavrixOps software, models, prompts, designs, and brand are owned by us and our licensors. These Terms do not transfer any of our intellectual property to you. You may use the service only as permitted here. Any feedback you provide may be used by us without obligation to you.

12. Privacy

Our handling of personal information is described in our Privacy Policy, which is part of these Terms.

13. Disclaimer of warranties

The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will produce any particular business result, except for any specific written guarantee in your agreement.

14. Limitation of liability

To the fullest extent permitted by law, MavrixOps will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to the service. Our total liability for any claim relating to the service will not exceed the amount you paid us for the service in the three months before the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless MavrixOps from claims, damages, and reasonable costs arising from your use of the service, your data or contact lists, your violation of these Terms, or your violation of any law, including telemarketing, messaging, recording, or consumer-protection laws.

16. Suspension & termination

We may suspend or terminate the service if you breach these Terms, fail to pay, or use the service in a way that creates legal or security risk. You may stop using the service at any time, subject to the cancellation terms above. Sections that by their nature should survive termination (including data, IP, disclaimers, liability, and indemnification) will survive.

17. Dispute resolution & governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Seminole County, Florida, and you consent to their jurisdiction. The parties will attempt to resolve disputes informally before filing any formal action.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Continued use of the service after changes take effect means you accept the updated Terms.
